These Terms of Service (“Terms”) govern your enrollment in and use of the direct primary care membership program, telemedicine visits, house call visits, and any related services (collectively, the “Services”) offered by Vanguard Physicians Concierge PLLC (“Vanguard,” “we,” “us,” or “our”), a Texas professional limited liability company owned and operated by Azfar Syed, MD. By enrolling as a member, scheduling a visit, or otherwise using the Services, you (“you,” “patient,” or “member”) agree to be bound by these Terms and by our Notice of Privacy Practices and Privacy Policy, which are incorporated by reference.
If you do not agree to these Terms, please do not enroll in or use the Services.
Vanguard is a fully mobile, cash-pay direct primary care (DPC) practice. We do not maintain a physical office. Care is delivered exclusively through telemedicine visits and in-person house calls within our service area, currently limited to Frisco, Plano, Allen, McKinney, Southlake, and surrounding communities in the Dallas-Fort Worth Metroplex. We reserve the right to modify our service area at any time, with notice to affected members.
Dr. Syed is a board-certified physician in family medicine and hospital medicine, licensed by the Texas Medical Board.
Vanguard operates on a direct primary care membership model. In exchange for a recurring monthly membership fee, members receive access to the primary care services described in your enrollment agreement, which may include telemedicine visits, house calls, care coordination, and direct communication with Dr. Syed. Specific services included in your membership tier, and any services billed separately (such as labs, imaging, vaccines, durable medical equipment, or specialist referrals), will be set out in your enrollment agreement and fee schedule.
Membership fees may be eligible for payment using a Health Savings Account (HSA) under current federal tax law. Eligibility and applicable limits are set by the IRS and can change. We do not provide tax advice; please consult a qualified tax professional regarding your specific situation.
Vanguard’s membership program is a direct primary care agreement as defined under Texas Occupations Code, Title 3, Subtitle B, Chapter 117 (formerly Chapter 162, Subchapter F). It is not health insurance and does not meet any state or federal requirement to maintain health insurance coverage. Membership does not cover hospitalization, emergency care, specialist care outside our practice, surgery, or catastrophic illness or injury. We strongly recommend that all members maintain a separate health insurance policy or other coverage for services outside the scope of this membership, including emergency and hospital care.
Enrollment is open to individuals located within our service area. Enrollment of a minor requires the consent and participation of a parent or legal guardian, who will be responsible for the membership fee and for consenting to care on the minor’s behalf.
We reserve the right to decline enrollment, or to discharge an existing member from the practice, for reasons consistent with applicable law and Texas Medical Board rules, including but not limited to non-payment, abusive conduct, safety concerns, or a breakdown of the physician-patient relationship. Where discharge is required, we will provide reasonable written notice and information on obtaining care elsewhere, consistent with our continuity-of-care obligations.
Membership fees are billed monthly in advance to the payment method on file and renew automatically each billing cycle unless cancelled. Membership fees are charged in exchange for continued access to Vanguard’s direct primary care services and the reservation of appointment availability, rather than for any minimum number of visits or services. Membership fees are due regardless of whether the member utilizes Services during the applicable billing period.
You may cancel your membership at any time by providing written notice (email is acceptable) at least 30 days before your next billing date. Membership fees already paid are non-refundable and are not prorated for partial months, except where required by law. We reserve the right to change membership pricing with at least 30 days’ advance notice to current members.
Failure to pay membership fees when due may result in suspension or termination of Services.
By using our telemedicine Services, you consent to receive care via secure audio-video or audio-only technology, and you acknowledge:
House calls are scheduled in advance within our service area. You agree to provide a safe environment for the visit. We reserve the right to decline or reschedule a house call, or to redirect you to emergency services, if the home environment presents a safety concern to our clinical staff or if your condition requires a higher level of care than can be safely provided in the home.
You agree to provide accurate and complete health information, to notify us promptly of changes to your health status, contact information, or payment method, and to pay membership fees and any separately billed services in a timely manner.
Vanguard is not an emergency medical service and does not provide 24/7 emergency coverage. If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency room. Do not rely on telemedicine, messaging, or a scheduled house call for emergency needs. Communications received outside normal business hours may not be reviewed until the next business day.
Prescriptions, referrals, and orders for labs or imaging are issued at Dr. Syed’s clinical discretion, based on an appropriate evaluation. Costs for medications, labs, imaging, and specialist care obtained outside our practice are your responsibility unless otherwise stated in your enrollment agreement.
Either you or Vanguard may terminate the membership relationship as described in Section 5 and Section 6. Upon termination, we will, upon request, facilitate the transfer of your medical records to a new provider consistent with our Notice of Privacy Practices and applicable Texas Medical Board continuity-of-care requirements. Vanguard may charge only those fees permitted by applicable Texas law for copies of medical records requested after termination.
To the fullest extent permitted by law, Vanguard’s liability arising from the Services is limited to the fees paid for the specific service giving rise to the claim. Nothing in these Terms limits liability for gross negligence, willful misconduct, or any liability that cannot be limited under applicable law. Nothing in these Terms is intended to limit any right you may have under Texas law regarding medical malpractice.
Membership provides access to primary care services. It does not guarantee any particular health outcome, diagnosis, or result.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Services will be brought in the state or federal courts located in Harris County, Texas, unless otherwise required by law.
We may update these Terms from time to time. We will provide notice of material changes by email or through your member communications at least 30 days before the changes take effect. Continued use of the Services after the effective date of updated Terms constitutes acceptance.
House call visits or scheduled telemedicine appointments cancelled with less than 24 hours’ notice, or missed without notice, may be subject to a cancellation fee or treated as a completed visit if applicable under the member’s plan.
Prescription refill requests should allow at least two (2) business days for processing. Certain medications may require an appointment or laboratory monitoring before renewal. Additionally, secure messaging is intended for routine medical questions. Although Vanguard endeavors to respond promptly, response times are not guaranteed. Secure messaging should never be used for emergency medical condition.
Complaints concerning physicians, as well as other licensees and registrants of the Texas Medical Board, may be reported for investigation to:
